NOTES TO CONSOLIDATED FINANCIAL STATEMENTS Acquisitions Results of operations of acquired companies are included in the company's results of operations as of the respective acquisition dates. The purchase price of each acquisition is allocated to the net assets acquired based on estimates of their fair values at the date of the acquisition. Any purchase price in excess of these net assets is recorded as goodwill. Contingent purchase price payments are recorded when the contingencies are resolved. The contingent consideration, if paid, is recorded as an additional element of the cost of the acquired company or as compensation, as appropriate. Impairment Reviews Goodwill Goodwill is not amortized, but is subject to at least annual impairment reviews, or whenever indicators of impairment exist. An impairment would occur if the carrying amount of a reporting unit exceeds the fair value of that reporting unit. The company measures goodwill for impairment based on its reportable segments, which are Medication Delivery, BioScience and Renal. An impairment charge would be recorded for the difference between the carrying value and the present value of estimated future cash flows, which represents the estimated fair value of the reporting unit. Other Long-Lived Assets The company reviews the carrying amounts of long-lived assets other than goodwill for potential impairment whenever events or changes in circumstances indicate that the carrying amount of an asset may not be recoverable. Examples of such a change in circumstances include a significant decrease in market price, a significant adverse change in the extent or manner in which an asset is being used, or a significant adverse change in the legal or business climate. In evaluating recoverability, management groups assets and liabilities at the lowest level such that the identifiable cash flows relating to the group are largely independent of the cash flows of other assets and liabilities. Management then compares the carrying amounts of the assets or asset groups with the related estimated undiscounted future cash flows. In the event impairment exists, an impairment charge would be recorded as the amount by which the carrying amount of the asset or asset group exceeds the fair value. Depending on the asset and the availability of information, fair value may be determined by reference to estimated selling values of assets in similar condition, or by using a discounted cash flow model. In addition, the remaining amortization period for the impaired asset would be reassessed and revised if necessary. Earnings Per Share The denominator for basic EPS is the weighted-average number of common shares outstanding during the period. The dilutive effect of outstanding employee stock options, employee stock purchase subscriptions, the purchase contracts in the company's equity units, and other common stock equivalents is reflected in the denominator for diluted EPS principally using the treasury stock method. The equity unit purchase contracts obligate the holders to purchase between 35.0 and 43.4 million shares based upon a specified exchange ratio ; of Baxter common stock in February 2006 for .25 billion. Using the treasury stock method, prior to the February 2006 purchase date, the purchase contracts have a dilutive effect when the average market price of Baxter stock exceeds .69. The purchase contracts require the holder to settle the contracts in cash, which requires use of the treasury stock method for these contracts. Only in the event of a failed remarketing of the senior notes included in the equity units did the contract holder have the option to surrender the senior note in satisfaction of the purchase contract, triggering use of the if-converted method. Since management believed the likelihood of a failed remarketing was remote, use of the treasury stock method was appropriate. As discussed further in Note 4, in November 2005, the company successfully remarketed the senior notes and paid down approximately billion of the .25 billion outstanding ; , and in February 2006, the company was required to settle the purchase contracts by issuing approximately 35 million shares of common stock in exchange for .25 billion. Diluted EPS excludes 29 million, 37 million and 61 million shares underlying stock options for 2005, 2004 and 2003, respectively, as the exercise price of these options was greater than the average market value of Baxter's common stock, resulting in an anti-dilutive effect on diluted earnings per share. Prior to the adoption of SFAS No. 150, the dilutive effect of equity forward agreements was reflected in diluted EPS using the reverse treasury stock method. 56.

Robert Fowler gave Sue Perry an engagement ring on October 21, 1999. They subsequently broke up and the ring was stolen from Perry who received , 000 in insurance proceeds for the ring. Fowler argued that he was entitled to the money. The trial court said no and Fowler appealed. The Court of Appeals found that an engagement ring is a conditional gift given in contemplation of marriage. The gift does not become absolute that is, ownership does not vest in the donee ; unt il the marriage occurs. In the absence of marriage, the person who purchased the ring is entitled to return of the ring and if that is not possible, to the monetary amount contributed toward purchase of the ring. Most jurisdictions follow a fault-based approach to this issue wherein the donor is entitled to the ring only if the engagement was broken by mutual agreement or unjustifiably by the donee. The concern underlying the fault-based approach is that the donor should not benefit by his breach of a promise of marriage. A minority of jurisdictions have adopted a "no- fault" approach requiring return of the ring without regard to fault. Consistent with Indiana's no- fault system of divorce, the Court of Appeals adopts the no-fault approach in order to avoid litigating the potentially contentious question of fault in the termination of an engagement. Lesson: After a break- up, the donor owns the engagement ring. 7. Contract; condition precedent--Aquasource, Inc. v. Wind Dance Farm, 833 N.E.2d 535 Ind. Ct. App. 9 6 05 ; Riley.

In order to assess the speed at which the LRFFT has spread away from Hong Kong, we collated available published start-up dates of the trade in individual exporting countries Johannes and Riepen 1995; Bentley 1999 ; and measured the direct distance in km ; from the capital city of each exporting country to Hong Kong. These data indicated that the LRFFT has been spreading to new countries farther and farther away from Hong Kong at an accelerating pace: initially in the 1970s the trade expanded at a rate of about 100 km per year and by the late 1990s reached over 400 km per year Fig. 1 and pramlintide.

Olsten will pay nearly million as part of a civil settlement, and Kimberly will enter into criminal plea agreements in three districts and pay more than million in criminal fines. Kimberly will plead guilty to three separate felony charges, which were filed in Florida and Georgia. Kimberly will plead guilty to conspiracy, mail fraud and violating the Medicare Anti Kickback statute, and will pay .08 million in criminal fines in connection with its scheme to defraud the Medicare program. Kimberly's parent company, Olsten, entered into a civil settlement agreement with the United States and will pay .92 million to resolve its civil liability stemming from the same Medicare fraud schemes and an additional scheme in Brooklyn, New York. Olsten and its subsidiaries own and operate management and staffing services for home health agencies in several states, including Florida and Georgia. Federal officials alleged kickbacks and false Medicare billings made in connection with Kimberly's receipt of fees from another company for Kimberly's management of certain home health agencies. As part of the plea agreement, Olsten and Kimberly will cooperate with the government in its ongoing investigations of others involved in these schemes. The civil settlement resolves allegations that Olsten defrauded Medicare in connection with its agreement to sell its home health agencies to Columbia HCA in 1995 and 1996 and to assist Columbia HCA in obtaining other home health agencies, and with its subsequent management arrangement with Columbia HCA. Federal officials alleged that Olsten and Columbia HCA caused the taxpayers to foot the bill for Columbia's acquisition of the agencies by passing on part of the purchase costs to Medicare disguised as management fees charged by Olsten. Medicare does not pay for most acquisition costs but it does pay for legitimate management fees. The civil settlement also resolves allegations that Olsten caused Medicare to be charged for sales and marketing activities that are not reimbursable under Medicare rules. The civil case was initially filed by former Olsten Vice President, Donald McLendon, under the qui tam provisions of the False Claims Act, a federal law that allows private individuals to sue on behalf of the government. Under the agreement McLendon will receive .8 million. The remaining million of the civil settlement resolves Olsten's liability in an unrelated matter in the Eastern District of New York. Olsten also accepted deferred criminal prosecution there. In the New York matter, the U.S. alleged that Olsten filed fraudulent cost reports which sought Medicare payment for non reimbursable costs including personal expenses of corporate executives. In addition to paying million, Olsten also has agreed with the Department of Health and Human Services to adopt and apply a corporate integrity agreement, which will extend to all of its health care facilities and lines of business located in the United States. Kimberly will be permanently excluded from participation in Medicare and other federal health benefit programs. 45 ; MetPath MetWest Corning Labs ; , 800, 000 ; Two of the nation's largest independent blood testing laboratories have paid the United States .8 million to settle allegations they submitted false Medicare claims for unnecessary blood tests. The correct number! The one record that causes the extra work heading has a misprint in the title Bibi for Bibbi ; . Differentiating between the expressions in the same language fails in some cases mainly because translator is not registered in an identifiable way or not at all only Norwegian translators are entered in the national bibliography. ; . In the analyzing program we also added the option of generating some simple statistics concerning the distribution of expressions and manifestations over the works. Table 5 shows the distribution for the works of Gaarder. The average number of manifestations pr expression is approximately 1, 5. Starting many years ago, Master Chia went in search of natural caves suitable for meditation in absolute darkness, but none were found. Master Chia and Juan Li spent one day in Wu San, the Taoist Immortal Mountain, the most sacred of the Taoist power centers. The cave was not, however, suitable for a dark room retreat. Tourists were ever-present, and the stench of human urine and feces was overpowering. They failed to find the true teaching. Other natural caves were explored, but all suffered some deficiency. The cave environments were dirty and damp, and the air quality poor dust, fungi, bacteria, insects, snakes, etc. ; . The caves were dumping grounds, repositories for human waste and garbage. The pristine silence of the darkness was not to be found. Perhaps the perfect cave is still hidden in some deep, high mountain and procainamide.
